Corporate Governance Implementation Status

The Company’s Board of Directors resolved on May 6, 2019 (108/05/06) to appoint Deputy General Manager and Head of Legal Affairs, Ms. Tina-Ning Hsu, as the Company’s Chief Corporate Governance Officer. She has more than three years of experience serving as a supervisor in legal, financial, stock affairs, or corporate governance departments of public companies, ensuring effective execution of corporate governance responsibilities. She has no conflicts of interest and no violations of internal control regulations.
The primary duties of the Chief Corporate Governance Officer include supervising the stock affairs department in convening Board and shareholders’ meetings, arranging meeting procedures, preparing minutes and information disclosures, providing directors with required operational information, assisting directors in legal compliance, and supporting onboarding and continuing education for directors.

 Execution status for the year 2024 (FY113) is as follows:

1. Assisting independent directors and general directors in performing their duties, providing necessary information, and arranging training:

 (1) Upon appointment, directors are provided with updates on the Company’s business areas and the latest developments/amendments to laws and regulations related to corporate governance, with regular updates thereafter.

 (2) based on the Company’s industry characteristics and the academic/professional background of each director, annual training plans and courses were arranged. In 2024, all directors accumulated a total of 81 training hours. Courses included topics such as climate change, carbon credit trading mechanisms and carbon management applications, sustainable finance, environmental sustainability, corporate governance, risk management, and regulatory compliance.

2. Assisting the Board and shareholders’ meeting in ensuring meeting procedures and resolutions comply with laws and regulations: Reporting the Company’s corporate governance operation status to the Board, independent directors, and the Audit Committee, and ensuring that the convening of shareholders’ and Board meetings complies with laws and corporate governance guidelines.
3. Preparing Board meeting agendas and notifying directors seven days in advance, providing meeting materials, and completing meeting minutes within twenty days after meetings.

4. Handling pre-registration of shareholders’ meeting dates in accordance with legal requirements, preparing meeting notices, handbooks, and minutes within statutory deadlines, and processing amendments to the Articles of Incorporation or registration matters for director elections.
5. Implementing greenhouse gas inventory plan and verification processes established by the GHG Inventory Task Force, and reporting progress regularly to the Board.
6. Conducting internal performance evaluations for the Board of Directors and functional committees (Compensation Committee and Audit Committee) in 2024. Overall performance was assessed as effective.

7. Board directors’ attendance rate reached 97.67% in 2024.
8. The Chief Corporate Governance Officer completed 18 hours of training.
9. Continued promoting electronic dividend notice services in 2024, allowing shareholders to conveniently access and receive information, supporting environmental protection and ESG principles.

10. Began using digital shareholder souvenirs in 2024, allowing online registration and mobile redemption, offering diverse and eco-friendly options to reduce paper waste and support a low-carbon environment.
